Bait-Tools Terms and Conditions

§1 Scope of Application

These General Terms and Conditions apply to all deliveries, services, and offers of the manufacturer. Deviating terms and conditions of the purchaser shall only apply if the manufacturer has expressly agreed to their validity in writing.

§2 Offers and Conclusion of Contract

All offers made by the manufacturer are non‑binding and subject to change unless expressly designated as binding. A contract is concluded only upon written order confirmation or upon delivery of the goods.

§3 Prices and Terms of Payment

All prices are quoted net ex works plus applicable statutory VAT. Payments are due within 14 days without deduction. In the event of default, the manufacturer is entitled to charge statutory default interest.

§4 Delivery and Transfer of Risk

Delivery is made ex works. Upon handover to the transport service provider, the risk of accidental loss or deterioration of the goods passes to the purchaser. Delivery dates are non‑binding unless expressly confirmed in writing as binding.

§5 Retention of Title

The goods remain the property of the manufacturer until full payment has been made. The purchaser must handle the goods with care and protect them from damage.

§6 Warranty

Statutory warranty rights apply unless otherwise stipulated below. Obvious defects must be reported in writing within 7 days of delivery. The manufacturer is initially entitled to remedy the defect or provide a replacement delivery.

§7 Limitation of Liability

  1. The manufacturer is liable only for damages resulting from intentional or grossly negligent conduct.
  2. In cases of simple negligence, the manufacturer is liable only for breaches of essential contractual obligations and limited to the foreseeable, typical damage.
  3. Liability for indirect damages, production downtime, loss of profit, or other consequential damages is excluded to the extent permitted by law.
  4. Liability for damages resulting from operating errors, improper use, lack of maintenance, or unauthorized modifications is excluded.
  5. The manufacturer assumes no responsibility for the purchaser’s compliance with statutory operator obligations.

§8 Operator Obligations, Maintenance, and Safety Inspections

The purchaser is solely responsible for the safe operation of the machine. This includes in particular:

1. Proper Use

The machine may only be operated in accordance with the operating manual and applicable regulations.

2. Qualified Personnel

Operation, maintenance, and servicing may only be carried out by qualified personnel.

3. Electrical Safety Inspection

Electrical installations must be inspected regularly by a qualified electrician—at least every 6 months or in accordance with statutory requirements.

4. Maintenance and Servicing

The purchaser is obligated to perform regular maintenance and safety inspections.

5. Documentation

All inspections and maintenance activities must be documented.

6. Modifications to the Machine

Modifications or alterations are only permitted with the manufacturer’s written approval.

7. Exclusion of Liability in Case of Breach of Obligations

The manufacturer is not liable for damages resulting from: • improper operation • missing or insufficient maintenance • omitted safety inspections • unauthorized modifications • use of non‑approved spare parts

§9 Spare Parts and Wear Parts

Only spare parts approved by the manufacturer may be used. The manufacturer is not liable for damages caused by non‑approved parts.

§10 Product Liability / Scope of Responsibility

  1. The manufacturer assumes no liability for damages arising from operation of the machine within the purchaser’s sphere of responsibility.
  2. The purchaser is obligated to comply with all statutory operator obligations.
  3. The manufacturer is not liable for violations of occupational safety, safety regulations, or inspection obligations by the purchaser.
  4. The purchaser shall indemnify the manufacturer against all third‑party claims resulting from operating errors, improper use, or omitted inspections.

§11 Place of Jurisdiction and Applicable Law

German law shall apply exclusively. The place of jurisdiction is the registered office of the manufacturer.

Terms and Conditions (B2B) – Bait-Tools

Note: These Terms and Conditions apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code).

1. Scope

These Terms and Conditions apply to all contracts for the sale and delivery of Bait-Tools products, accessories, and used components between Bait-Tools (hereinafter referred to as "Seller") and entrepreneurs within the meaning of § 14 BGB (hereinafter referred to as "Buyer"). Deviating terms and conditions of the Buyer shall only apply if expressly confirmed in writing by the Seller.

2. Conclusion of Contract

Offers made by the Seller are non-binding and subject to change. A contract is only concluded through written order confirmation or delivery. Technical specifications, drawings, or descriptions do not constitute guaranteed characteristics unless expressly agreed in writing.

3. Prices and Payment Terms

All prices are quoted net ex works plus statutory VAT. Payments are due, unless otherwise agreed, within 14 days of invoice date without deduction. In the case of individual agreements (e.g. offers or pro forma invoices with deviating payment or delivery terms), the conditions confirmed in writing shall apply. In case of default, statutory default interest pursuant to § 288 BGB shall apply.

4. Delivery and Transfer of Risk

Delivery periods are non-binding unless expressly confirmed in writing. Risk passes to the Buyer upon handover to the carrier, shipping service provider, or Buyer. Partial deliveries are permitted if reasonable for the Buyer.

5. Retention of Title

Delivered goods remain the property of the Seller until full payment has been received. The Buyer is obliged to handle the goods with care and protect them from third-party access.

6. Liability for Defects and Disclaimer

The sale of used machines is made under exclusion of any liability for defects pursuant to § 444 BGB ("sold as seen"). The Buyer confirms that they have inspected the goods prior to purchase and accept their condition. No warranty or guarantee is provided. The Seller is not liable for damages resulting from improper operation, commissioning, or disregard of safety instructions.

7. Safety Instruction and Operational Risk

The Buyer confirms that they have been informed about the safe operation of the machine and that no physical or mental impairments exist that could affect its use. Use is at the Buyer's own risk.

8. Product Liability

Strict liability under the Product Liability Act remains unaffected, insofar as it is legally required.

9. Jurisdiction and Applicable Law

German law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes arising from or in connection with this contract is the Seller’s registered office in Germany, including for cross-border deliveries within the EU and worldwide, provided the Buyer is an entrepreneur.

10. Severability Clause

Should individual provisions of these Terms and Conditions be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected. In place of the invalid provision, a legally permissible provision shall apply that comes closest to the economic intent..

Terms and Conditions (B2C) – Bait-Tools

Note: These Terms and Conditions apply to contracts with consumers within the meaning of § 13 BGB (German Civil Code).

1. Scope

These Terms and Conditions apply to all contracts between Bait-Tools (hereinafter referred to as "Seller") and consumers (hereinafter referred to as "Customer") concerning the sale and delivery of Bait-Tools products, accessories, and components via the website www.bait-tools.de or general inquiries, e.g. via email contact.

2. Conclusion of Contract

The presentation of products on the website does not constitute a legally binding offer, but rather a non-binding invitation to place an order. By submitting an order, the Customer makes a binding offer. The contract is concluded through our express acceptance (e.g. via email) or by delivery of the goods.

3. Prices and Payment Terms

All prices include statutory VAT and exclude shipping costs. Payments are due, unless otherwise agreed, within 14 days of invoice date. In the case of individual agreements (e.g. pro forma invoices with deviating payment or delivery terms), the conditions confirmed in writing shall apply.

4. Delivery and Shipping

Delivery is made to the address provided by the Customer. Delivery times are specified individually; in case of delays, we will inform the Customer promptly. Risk is transferred to the Customer only upon handover of the goods.

5. Right of Withdrawal

Consumers have a statutory right of withdrawal of 14 days. A detailed withdrawal policy, including a sample withdrawal form, must be provided in writing.

6. Warranty

Statutory warranty rights apply. The warranty period is 2 years from delivery. For used machines, the warranty may be reduced to 1 year if expressly agreed before the contract is concluded.

7. Liability

We are fully liable for damages resulting from injury to life, body, or health. For other damages, we are liable only in cases of intent or gross negligence. Liability for slight negligence is excluded unless essential contractual obligations are violated.

8. Retention of Title

Goods remain the property of the Seller until full payment has been received.

9. Data Protection

10. Online Dispute Resolution

The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr We are not obliged to participate in a dispute resolution procedure.

11. Jurisdiction and Applicable Law

German law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is the Seller’s registered office, provided the Customer does not have a general place of jurisdiction in Germany.

12. Severability Clause

Should individual provisions of these Terms and Conditions be wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
